MORUO PUBLIC OFFER PROSPECTUS

Prepared and issued to accompany a Public Offer of Moruo linked units for subscription of 175 000 linked units at an issue price of M600 (M0.10 par value of the share PLUS M399.90 value of the debenture acquired PLUS M200 share premium). See Annexure 1 for price calculation per linked unit in the capital of Moruo, thereby raising M105.00 million (“the Public Offer”).
